1. Agreement to terms

By checking "I agree," downloading, installing, or operating the Cooren AF software appliance ("Appliance"), you ("Customer") agree to be bound by this End User License Agreement ("Agreement"). If you do not agree to all terms, do not download, install, or operate the Appliance. Acceptance is digitally recorded and verified via the accepting email address, the version and content hash of this Agreement, and a secure timestamp.

2. License grant

Subject to Customer's continuous compliance with this Agreement and timely payment of all applicable fees, MIG grants Customer a non-exclusive, non-transferable, non-sublicensable, revocable license to install and operate the Appliance at no base license fee, subject to the gate transaction fees set forth in Section 4. MIG retains all right, title, and interest in and to the Appliance, the Cooren primitive, the Cooren Signal Protocol, and all related intellectual property rights. No rights or licenses are granted to Customer except as expressly and unambiguously stated herein.

3. What the Appliance does

The Appliance enforces a default-off authorization gate: no gated action executes unless a human-held authenticated key opens the gate, and every opened gate is recorded to a tamper-evident audit record. Customer exercises sole control over its own cryptographic keys, its own root (minted on Customer's hardware at genesis), and its own gate policy (Constraints & Parameters).

4. Gate transaction fee ("the toll")

• Fee structure: Customer agrees to pay USD $0.03 per recorded gate decision ("Gate Transaction").
• Exclusions: Reads, signals, and escalations are not subject to fees; only a recorded gate decision incurs a charge.
• Reporting and invoicing: The Appliance reports Gate Transaction counts to MIG's collector via the Cooren Signal Protocol. MIG will issue a periodic reconciliation statement and bill Customer via Stripe on a monthly cycle.
• Payment terms: Invoices are due within thirty (30) days of the invoice date. Late payments accrue interest at 1.5% per month, or the maximum rate permitted by applicable Florida law, whichever is less. All fees are exclusive of applicable taxes, and Customer is responsible for all sales, use, and related taxes.

5. Telemetry and billing data

• Data transmission: To meter the toll and maintain the tamper-evident audit record, the Appliance transmits the following limited data points to MIG: an endpoint identifier, per-gate counts, origin class, gate type, audit chain-head hashes, and acting-key fingerprints.
• Payload protection: The Appliance does not transmit the content of any gated action, Customer data, or gate payloads.
• Use of data: MIG utilizes this telemetry data solely to meter usage, generate invoices, provide verification records, and maintain the system. MIG does not sell this telemetry data.

6. Activation

• Requirements: Operational use for billing and tracking purposes requires enrollment, keyed to Customer's verified email address.
• Restrictions: An un-enrolled Appliance produces no billable or anchored telemetry. Customer is strictly prohibited from sharing, reselling, or transferring endpoint credentials.

7. Acceptable use

Customer shall not, directly or indirectly: reverse engineer, decompile, disassemble, resell, sublicense, or redistribute the Appliance except as expressly permitted; circumvent, falsify, disable, or tamper with the toll metering mechanisms or audit telemetry systems; or utilize the Appliance in any manner that violates applicable local, state, federal, or international law.

8. Disclaimer of warranties

THE APPLIANCE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE FLORIDA LAW AND THE UNIFORM COMMERCIAL CODE, MIG EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. MIG DOES NOT WARRANT THAT THE APPLIANCE WILL MEET CUSTOMER'S REQUIREMENTS, OR THAT OPERATION WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

9. Limitation of liability

To the maximum extent permitted by law, MIG shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of profits, data, business, or goodwill. MIG's total cumulative liability is strictly limited to the total fees actually paid by Customer to MIG in the twelve (12) months immediately preceding the event giving rise to liability.

10. Term and termination

This Agreement commences upon acceptance and continues until terminated by either party. Customer may terminate at any time by ceasing all use and uninstalling the Appliance. MIG may suspend or terminate activation and access immediately upon written notice if Customer breaches any provision. Sections 2, 4, 5, 8, 9, 11, and any accrued payment obligations survive termination.

11. Governing law and venue

This Agreement is governed by the laws of the State of Florida, USA, without regard to conflict-of-laws principles. The parties irrevocably consent to the exclusive jurisdiction and venue of the state and federal courts located in Duval County, Jacksonville, Florida.

12. Modifications

MIG may modify or update this Agreement. Continued operation after a new version's effective date constitutes binding acceptance of the updated terms. Each accepted version is programmatically recorded by version identifier and content hash.
